Berlin Brands Group is a Berlin direct-to-consumer e-commerce holding that develops, sources and sells own-brand consumer goods and, from late 2020, also bought and consolidated third-party marketplace brands. It began in 2005 as Chal-Tec, founded by Peter Chaljawski from an eBay event-technology business; the Berlin Brands Group umbrella was created in 2019. Its best-known brands are Klarstein, auna, blumfeldt and Capital Sports.

Why this entity matters
Berlin Brands Group is the German end of the Amazon-aggregator story and the cleanest case study in what that model looked like at the top of the market and after it. It passed a one-billion-dollar valuation in 2021 on a roll-up thesis: buy small marketplace sellers, move them onto a shared platform, scale them with centralised sourcing, logistics and marketing. What makes it more instructive than its peers is that it was profitable and bootstrapped for fifteen years before taking outside growth capital, so its trajectory separates the operating business from the acquisition programme laid on top of it. The question it poses is not whether aggregation worked, but which part survived when that capital stopped.

Structure and holdings
Chal-Tec was founded in Berlin in 2005 and launched its shop elektronik-star.de the following year. It was profitable from its first financial year and grew without venture capital; the electronic-star a.s. joint venture extended it into central and eastern Europe from 2012, and a central warehouse opened at Kamp-Lintfort in 2017. Ardian acquired 40 percent in June 2015, Chaljawski keeping the remainder. Reported revenue was EUR 216 million in 2019 and EUR 334 million in 2020. From late 2020 it began buying e-commerce brands with revenues between EUR 500,000 and EUR 100 million and migrating them onto its platform.

In September 2021 Bain Capital acquired Ardian's entire stake and the group took on USD 700 million in equity and debt, at a valuation above one billion dollars; Ardian re-entered with about USD 100 million that November. In January 2024 Chaljawski stepped down as chief executive, succeeded by Eben Sermon, previously a senior eBay executive in Europe. In March 2024 the European Commission cleared, under the simplified procedure, HPS Investment Partners' acquisition of sole control of Berlin Brands Group Holding GmbH; terms were not made public. In December 2025 German trade press reported that the holding had reverted to the Chal-Tec name and the umbrella brand had been dropped, with Klarstein said to account for around 90 percent of revenue and only a handful of acquired brands still trading. That is trade reporting, not a company statement.

Role in the DACH startup and technology ecosystem
Berlin Brands Group sits awkwardly in the German ecosystem: startup-scale funding rounds and unicorn headlines, but an operating model closer to consumer-goods sourcing than to software. It showed that a German operator could build a real multi-brand consumer platform out of marketplace selling, then showed the limits of financing that platform on acquisition capital priced for a different market. The sector contracted sharply after 2022, and the group's own arc — founder exit, change of control, consolidation back onto the core brand — is the clearest German record of that correction.
